1. Parties and acceptance
These terms govern use of the NuvaMed platform (nuvamed.cl), operated by NuvaMed SpA ("NuvaMed", "we"), RUT 78.385.718-9, with its publicly stated location in Las Condes, Santiago, Chile. The verified contact channel is contacto@nuvamed.cl, and NuvaMed will use the registered email for contractual communications unless a transaction identifies another channel in advance. The person accepting these terms ("the user") represents that they can bind themselves or have sufficient authority to represent the subscribing institution.
Acceptance of this version requires an affirmative action through NuvaMed's registration or re-acceptance mechanism. For clarity, continued use does not replace affirmative acceptance where a material change modifies contractual terms, user rights, or personal-data processing.
Pending corporate information: legal domicile: pending corporate verification; legal representative: pending corporate verification. NuvaMed does not publish an unverified domicile, phone number, or representative as though it were verified legal information.
2. Service description
NuvaMed is an electronic clinical records platform specialized in psychiatry, which includes:
- Clinical record and progress note management
- Preparation of editable drafts of clinical and legal documents (prescriptions, epicrisis, certificates, and transfer forms), subject to review, signature, and issuance by an authorized person
- Tools that support documentary and operational workflows related to GES/AUGE, Ley 21.331, and Ley 20.584, whose correct application remains subject to review by the responsible professional or provider
- Scheduling and appointment management
- Telemedicine via Zoom integration
- Patient wellness portal (NuvaMed+)
- Inter-professional communication network (CareLink)
- AI-powered clinical assistance
- Billing and electronic tax documents
3. Registration and accounts
- The user must be a licensed healthcare professional or authorized staff of a healthcare institution
- Registration information must be accurate and up to date
- The user is responsible for the security of their access credentials
- Each account is personal and non-transferable
- Non-clinical staff access (secretaries) is limited to administrative functions
4. Plans and billing
- Free trial: 30 days with the Professional-level features defined for the current trial. It excludes features reserved for Profesional Plus and requires no payment method
- Inicial plan: 0.5 UF/month — basic clinical documentation and scheduling — 5.5 UF/year
- Profesional plan: 1.5 UF/month — clinical AI, telemedicine, and billing — 16.5 UF/year
- Profesional Plus plan: 2 UF/month — AI copilot and advanced analytics — 22 UF/year
- Clínica plan: from 12 UF/month — multiple professionals — from 132 UF/year
- Empresa plan: custom pricing — hospitals and health networks
Listed prices are net amounts and applicable VAT is added. They are expressed in Unidades de Fomento (UF) and converted to Chilean pesos (CLP) at the value used on the billing date. At contracting, the user chooses a monthly or annual billing period. The annual plan is charged once in advance, in a single transaction, at the UF value on the purchase date, and equals eleven monthly payments for twelve months of service. The applicable plan, billing period, net price, tax, and total are shown before payment confirmation. Billing is processed through Flow.cl, and an electronic receipt or invoice is issued as applicable.
Block before paid contracting: paid online contracting must not be enabled until NuvaMed verifies and publishes its legal domicile and legal representative, obtains legal review of the precontract information applicable to each plan, and operates a mechanism that, once the contract is formed, sends the user written confirmation containing a complete, clear, and legible copy of the accepted contract. Registration and a free trial without a payment method do not, by themselves, establish that the paid contracting flow is ready.
Right of withdrawal: where the user qualifies as a consumer and Ley 19.496 applies to an electronic service contract, a right of withdrawal may apply within ten days after contracting and before service performance begins, subject to the statutory conditions. This version does not establish a blanket exclusion of withdrawal. Any exclusion for a specific service must be legally available and disclosed expressly, clearly, and in time before contracting; it does not limit other non-waivable rights. Subscription cancellation and the statutory right of withdrawal are distinct mechanisms.
5. User obligations
- Use the platform in accordance with current Chilean legislation and professional ethics
- Maintain the confidentiality of patient clinical data
- Not share access credentials with third parties
- Obtain patient consent when required by law
- Not attempt to access data belonging to other professionals or institutions
- Immediately report any security incident or unauthorized access
6. NuvaMed obligations
- Apply reasonable technical and organizational measures to protect the confidentiality, integrity, and availability of the service and processed data
- Operate backup and recovery mechanisms according to the service configuration and continuity procedures
- Manage security incidents and make required communications without undue delay, under applicable law, contracts, risk, and available information
- Maintain audit records for sensitive actions covered by the platform and protect them against unauthorized alteration
- Limit support access to clinical data to authorized personnel who need it for support, security, or a legal obligation, subject to access control and logging
A specific availability percentage, recovery time, or response deadline is binding only when expressly stated in the applicable order, plan, or service-level agreement.
7. Third-party integrations
Zoom: Zoom integration is optional and requires the professional to connect their own Zoom account. NuvaMed acts as a technical intermediary. Use of Zoom is subject to Zoom's Terms of Service.
Google: Google Cloud infrastructure, sign-in, Calendar/Meet, and AI functions through Gemini or Vertex AI, depending on the active feature and configuration, are subject to the applicable Google contractual terms.
NuvaMed may also use payment and electronic-invoicing providers, transactional email, institution-enabled messaging, error monitoring, and public-site analytics. The applicable data categories, purpose, location, and retention are described in the Privacy Policy.
Where NuvaMed processes personal data on a healthcare provider's behalf, the parties must enter into the applicable data processing agreement before clinical production processing is enabled. That agreement defines the purpose and duration, documented instructions, data and data-subject categories, confidentiality, security, subprocessors, incident handling, audit, and return or deletion at the end of the service.
8. Intellectual property
- NuvaMed is owned by NuvaMed SpA. All rights reserved
- Data subjects retain the rights recognized by law over their personal data; healthcare providers retain the custody and responsibilities assigned to them for clinical records
- NuvaMed does not acquire ownership of clinical data by hosting or processing it to provide the service
- The user retains applicable rights in original content they submit and grants NuvaMed the limited authorization needed to host, process, back up, and transmit it under their instructions and these terms
- NuvaMed does not use patient clinical content for advertising or to train its own models. Provider processing and technical retention are described in the Privacy Policy
9. Clinical records and retention
Ley 20.584 and DS 41/2012 establish duties concerning clinical records. NuvaMed also applies a product operating policy to structure corrections:
- Clinical records are kept for a minimum of 15 years from the last entry
- The 12-hour editing window is a product operating policy, not a deadline established by Ley 20.584
- After that window, corrections are recorded as dated, attributed append-only addendums that preserve the prior entry
- Access and modifications covered by the platform's audit controls generate traceable records
- Account deactivation or logical patient deletion does not automatically delete clinical records subject to a retention obligation
10. Limitation of liability
- NuvaMed is a support tool. Clinical decisions are the sole responsibility of the treating professional
- AI-generated suggestions are advisory and do not constitute medical recommendations
- NuvaMed is not a crisis intervention service and does not replace in-person care
- To the extent permitted by law, and only for ordinary direct contractual damages, NuvaMed's aggregate liability will not exceed the amount paid by the user during the 12 months before the event giving rise to the claim
The limitation above does not apply to fraud or gross negligence, any indemnity that cannot lawfully be limited, or attributable breaches of confidentiality, security, or personal data protection. It does not limit non-waivable consumer, patient, or data-subject rights, and does not prevent either party from seeking urgent relief before a competent court.
11. Suspension and termination
- The user or an authorized representative may request plan cancellation or account closure through the available platform channels or by emailing contacto@nuvamed.cl, subject to the applicable plan, order, and outstanding obligations
- NuvaMed may suspend accounts that violate these terms, with 15 days' prior notice except in cases of security risk
- Authorized owners and administrators may use the export functions available for their institution or request support assistance where the volume or data type exceeds the enabled export. This does not replace each patient's clinical-record access or delivery rights
- Clinical data is retained in accordance with legal deadlines, even after termination
12. Modifications
NuvaMed may update these terms. Material changes will be communicated before they take effect and will require renewed affirmative acceptance where they modify contractual conditions, user rights, or personal-data processing. Non-material corrections or clarifications may be communicated through the platform or registered email while preserving version history.
13. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Chile. Disputes will be heard by the competent court under applicable law. If the user qualifies as a consumer, they retain all non-waivable rights, venue choices, and complaint mechanisms under Ley 19.496; nothing in these terms restricts those rights.
